1. Agreement and scope
These Terms of Service (“Terms”) apply to website design, development, redesign, updates, deployment, consulting, and related services provided by Eternal Valley Web (“Eternal Valley Web,” “we,” “us,” or “our”). When you submit a quote request through this website and check the required agreement box, you confirm that you have read and agree to these Terms and acknowledge the Privacy Policy. Submitting a quote request does not require Eternal Valley Web to accept, schedule, or begin a project. A project is accepted only when the parties approve the applicable quote, proposal, invoice, written scope, or other project agreement and any required initial payment has been received. The project-specific agreement controls the deliverables, price, payment schedule, revision allowance, estimated timeline, hosting arrangement, and any services specifically included.
2. Right to refuse, suspend, or end service
Eternal Valley Web reserves the right to refuse any prospective project or service request for any lawful reason, including lack of availability, requests outside our capabilities or normal service offering, legal or security concerns, or a project that we do not believe is a good fit.
After a project has been accepted, we may pause or terminate work if the client fails to pay amounts when due, repeatedly fails to provide required materials or approvals, materially changes or misrepresents the project, engages in abusive or threatening conduct, requests unlawful or infringing work, creates an unreasonable security risk, or materially breaches these Terms or the project agreement. If a paid project is ended, prepaid amounts will be applied to work already performed and approved non-refundable third-party costs, and any remaining unearned balance will be handled as required by the project agreement and applicable law.
3. Payment and deposits
A deposit, upfront payment, or full payment may be required before a project is scheduled or any work begins. The required amount and payment schedule will be stated in the quote, invoice, or project agreement. Eternal Valley Web is not required to begin work until the required initial payment has been received and cleared.
Unless the project agreement says otherwise, any remaining balance must be paid before the final website is launched, transferred, or released for production use. Work may be paused if an invoice becomes overdue. Deposits and prepaid amounts are applied toward the project price and toward work performed, reserved project time, and approved non-refundable expenses as described in the project agreement.
4. Client responsibilities
The client must provide accurate business information, content, feedback, approvals, access credentials, and other materials reasonably needed to complete the project. The client is responsible for reviewing spelling, pricing, contact information, business claims, legal notices, and other supplied content before launch.
The client represents that it owns or has permission to use all text, logos, photographs, trademarks, media, and other materials it supplies. The client is responsible for obtaining any licenses, releases, permissions, or consents required for those materials.
5. Timelines and no delivery guarantee
All project timelines, completion dates, launch dates, and turnaround estimates are estimates only unless a separate written agreement explicitly states that a particular deadline is guaranteed. Eternal Valley Web does not guarantee delivery or completion by any specific date.
We will make reasonable efforts to move projects forward in a timely manner, but schedules can be affected by client response time, missing content, revision requests, scope changes, third-party services, outages, technical issues, illness, emergencies, workload, or other circumstances outside our reasonable control. Eternal Valley Web is not responsible for losses caused by a project taking longer than originally estimated.
6. Revisions and changes in scope
The number of included revision rounds, if any, will be stated in the project agreement. A revision means a reasonable change to work already included in the agreed scope. New pages, new features, substantial redesigns, repeated direction changes, new integrations, major content creation, or requests outside the original scope may be treated as additional work and quoted separately.
We are not required to begin additional work until the client approves the added scope and any required additional payment or deposit.
7. Client delays and inactive projects
If the client does not provide requested content, feedback, approvals, access, or other required information for 30 consecutive days, Eternal Valley Web may place the project on hold. Resuming an inactive project may require a new schedule and, if the scope or costs have changed, an updated quote. Extended client delays may also affect any previously estimated completion window.
8. Domains, hosting, and third-party services
Domain registration, paid hosting, email services, booking platforms, payment processors, premium software, stock media, analytics, advertising, and other third-party products are separate unless the project agreement specifically includes them. Third-party products are governed by their own terms, pricing, availability, privacy practices, and service limitations.
Standard static-site deployment may be provided using third-party infrastructure such as Cloudflare. Eternal Valley Web cannot guarantee uninterrupted hosting, permanent availability, or continued availability of any third-party platform. Domain names should normally be registered in the client’s own name, and the client remains responsible for renewal fees, registrar requirements, and keeping account information current.
If Eternal Valley Web provides hosting or deployment at no separate recurring charge, that arrangement is not a promise of perpetual hosting. We may change or discontinue a complimentary hosting arrangement with reasonable notice. After all outstanding balances are paid, the client may request a copy of the project files so the site can be moved to another compatible provider.
9. Ownership and project files
After all amounts due for the project are paid in full, the client receives the rights stated in the project agreement to the custom deliverables created specifically for that client. Eternal Valley Web retains ownership of pre-existing materials, reusable components, development methods, utilities, templates, general techniques, know-how, and tools that were not created exclusively for the client. Third-party materials remain subject to their original licenses.
Source or project files may be provided after final payment where reasonably applicable. Eternal Valley Web is not required to provide internal credentials, private service accounts, paid licenses that cannot be transferred, or materials that we do not have the right to redistribute.
10. Portfolio use
Unless the client asks us in writing not to do so before launch, Eternal Valley Web may display the client’s business name, public website address, screenshots, and a factual description of the completed work in our portfolio, examples, or promotional materials. We will not intentionally publish confidential information.
11. Updates, maintenance, and support after launch
A completed website does not include unlimited future updates, indefinite maintenance, emergency support, or ongoing development unless a separate agreement says otherwise. Future text changes, photo changes, additional pages, redesigns, integrations, troubleshooting, migrations, or new features may be quoted and billed separately.
12. No guarantee of business, search, or technical results
Eternal Valley Web does not guarantee search-engine rankings, traffic, leads, sales, revenue, conversion rates, advertising results, accessibility certification, legal compliance, uninterrupted uptime, compatibility with every future browser or device, or any other particular business or technical outcome. Search engines, browsers, hosting companies, APIs, and other third parties may change their products or policies without our control.
13. Client legal and regulatory responsibility
The client is responsible for the legality and accuracy of its business claims, offers, prices, regulated statements, licensing disclosures, refund policies, terms, privacy notices, accessibility obligations, and industry-specific requirements. Eternal Valley Web does not provide legal, tax, financial, medical, or regulatory advice.
14. Cancellation and refunds
Either party may end a project by written notice, subject to these Terms and the project agreement. If the client cancels after work has begun, the client remains responsible for work already performed, approved expenses, reserved work that is expressly non-refundable under the project agreement, and non-refundable third-party costs incurred for the project.
If prepaid funds exceed the amount properly earned or incurred at the time the project ends, any remaining unearned balance will be handled in accordance with the project agreement and applicable law. Completed or partially completed work may be withheld until outstanding amounts are paid.
15. Warranties and limitation of liability
Services are provided with reasonable care, but no website or internet service can be guaranteed to be completely error-free, uninterrupted, secure, or compatible with every future technology. To the maximum extent permitted by applicable law, Eternal Valley Web will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill arising from the services.
To the maximum extent permitted by applicable law, Eternal Valley Web’s total direct liability arising from a particular project will not exceed the amount actually paid to Eternal Valley Web for the specific service that gave rise to the claim.
16. Force majeure and circumstances beyond our control
Eternal Valley Web is not responsible for delay or failure caused by events outside our reasonable control, including internet or utility failures, hosting outages, third-party platform failures, natural disasters, severe weather, illness, emergencies, labor disruptions, government actions, or similar events.
17. Changes to these Terms
We may update these general Terms for future projects. Material changes will not retroactively replace a project-specific written agreement that has already been accepted unless both parties agree to the change or applicable law requires it.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
